Terms of service

Last updated: October 10, 2026. These terms apply to Ulte products, currently Ulte Mail Sync. StockEven has its own terms.

1. Provider

The service is provided by Event Space Sp. z o.o., ul. Kanarkowa 47, 11-041 Olsztyn, Poland, VAT ID PL7394025935, KRS 0001210621 ("Ulte"). Contact: info@ulte.net.

2. Service

Ulte Mail Sync consists of a WordPress plugin and the Ulte service. The plugin sends changes from a WooCommerce store (orders, carts with an email entered at checkout, products and newsletter consent) to the Ulte service, which queues them and delivers them to the MailerLite account chosen by the customer. The plugin is licensed under the GNU General Public License v2 or later; these terms govern the use of the Ulte service.

3. Customer

The service is intended for businesses. The customer is the person or company that runs the store and connects it, and accepts these terms by connecting. The person connecting confirms the authority to act for the store.

4. Customer duties

  • Have a legal basis for sending store customers' data to MailerLite and for marketing emails, including consent where the law requires it, and inform store customers in the store's own privacy notice.
  • Keep the MailerLite account in good standing and follow MailerLite's terms and anti-spam rules.
  • Keep the API token confidential and replace it when it may have been exposed.
  • Not use the service to send data the customer may not lawfully process, or to interfere with the service or other customers.

5. Data processing on behalf of the customer

For personal data of store customers, the customer is the controller and Ulte is the processor under Article 28 GDPR. This section is the data processing agreement between them.

  • Subject and duration: delivery of store data to MailerLite, for as long as the store is connected.
  • Data and people: store customers' email address, first and last name, newsletter consent, orders and cart contents.
  • Instructions: Ulte processes the data only to deliver it to the MailerLite account the customer connected, and as the settings in the plugin direct. Sending to MailerLite is the customer's instruction; MailerLite is the customer's own provider, not a sub-processor of Ulte.
  • Sub-processors: Hetzner Online GmbH (servers, Germany and Finland). The customer authorises sub-processors listed in the privacy policy; changes are announced there at least 30 days in advance, and the customer may object by disconnecting.
  • Security: encrypted connections, the API token and store secret encrypted at rest, access limited to people bound by confidentiality, signed requests between the plugin and the service.
  • Assistance: Ulte helps the customer answer data subject requests and meet its security and breach notification duties, and reports a personal data breach without undue delay.
  • Deletion: delivered changes are deleted after 30 days, undeliverable ones after 90 days. After disconnection the API token is deleted at once and the remaining store data within 30 days.
  • Audits: Ulte provides the information needed to show compliance with this section on request to info@ulte.net.

6. Fees

  • Plans: Free (50 paid orders a month), Starter (500), Growth (2,500) and Pro (unlimited), billed monthly or yearly at the prices on the product page. Nothing is charged unless the customer chooses a paid plan.
  • Limit: paid orders are counted once per calendar month (UTC). Orders above the limit are held and delivered after an upgrade or at the start of the next month. Abandoned carts, products and subscribers are not limited.
  • Payment: through Stripe, in advance for each period. Stripe adds VAT or sales tax where required and issues the invoice. A plan change during a period is prorated.
  • Renewal and cancellation: plans renew automatically. A cancelled plan stays active until the end of the paid period, then the store moves to Free. Paid periods are not refunded, except where the law requires it.
  • Failed payment: the plan stays active for 7 days while payment is retried, then the store moves to Free.
  • Price changes: announced by email to the store's admin address at least 30 days before they apply to the next period.

7. Availability

Ulte works to keep the service available and to deliver every change, and retries deliveries that fail. There is no guaranteed uptime. Maintenance is done so that changes wait in the queue and are delivered afterwards.

8. Third-party services

The service depends on WordPress, WooCommerce and MailerLite, which Ulte does not control. Changes to their software, APIs, limits or terms may affect the service. Ulte adapts the service where it reasonably can, and is not responsible for the third parties' services.

9. Liability

To the extent the law allows, Ulte's total liability under these terms is limited to the fees the customer paid for the service in the 12 months before the claim, or EUR 100 if no fees were paid, and excludes lost profits. This limit does not apply to damage caused intentionally, or where the law does not permit a limit.

10. Suspension and termination

The customer may stop using the service at any time by disconnecting or uninstalling the plugin. Ulte may suspend a store that breaches these terms or endangers the service, and may end the service with 30 days' notice by email. Sections 5 (deletion) and 9 continue after termination.

11. Changes

Ulte may change these terms. Material changes are announced by email to the store's admin address at least 30 days before they apply. Continued use after that date means acceptance; a customer who does not accept may disconnect.

12. Law and courts

These terms are governed by Polish law. Disputes are decided by the court with jurisdiction over Ulte's registered office, unless mandatory law provides otherwise.
